1. Acceptance of Terms

By accessing or using the services provided by ADESOLGBE ICT Services ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use our services.

ADESOLGBE ICT Services provides a range of information and communication technology services including but not limited to:

• Software Development (Web, Desktop, Mobile Applications)
• System Maintenance and Repairs
• IT Consulting Services
• Website Management and Hosting
• Computer Training and Capacity Building
• Bulk SMS Services
• Data Entry and Management
• Sales of Computer and Accessories

3. User Responsibilities

When using our services, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account and passwords
• Promptly update information to keep it accurate and complete
• Accept responsibility for all activities that occur under your account
• Not use our services for any illegal or unauthorized purpose
• Comply with all applicable laws and regulations in Nigeria

4. Intellectual Property Rights

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of ADESOLGBE ICT Services or its content suppliers and are protected by Nigerian and international copyright laws.

5. Payment Terms

Unless otherwise agreed in writing:

• All fees are payable in Nigerian Naira (NGN) or as otherwise specified
• Payment is due upon receipt of invoice unless credit terms have been agreed
• We accept bank transfers, POS payments, and other approved payment methods
• Services will commence only after payment confirmation
• Project timelines commence after receipt of initial deposit (if applicable)

6. Project Delivery and Acceptance

For custom development projects:

• Project timelines are estimates and may be adjusted based on requirements
• Client shall have 7 days to review and accept deliverables
• Additional requirements may incur extra charges
• Final acceptance must be provided in writing

7. Limitation of Liability

To the maximum extent permitted by law, ADESOLGBE ICT Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use our services
• Any conduct or content of any third party on our services
• Unauthorized access, use, or alteration of your transmissions or content
• Statements or conduct of any third party on our services

8. Indemnification

You agree to defend, indemnify, and hold harmless ADESOLGBE ICT Services and its employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of our services.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Akure, Ondo State, Nigeria.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
